Abstract:

This article argues for a better approach to corporate governance (CG) pedagogy and research. It proposes an approach commensurate with contemporary business experiences. A qualitative review of approaches in existing CG literature was used to propose one envisioned to improve governance teaching and research. It was observed that existing literature exhibit a ?blanket' approach that focuses on CG theories, boards as CG instruments, CG and performance, and compliance with laws. While acknowledging the contribution of existing CG literature, empirical evidence expose their limitations. This necessitates a new approach that considers governance's multidisciplinary nature and its nexus to related fields. Consequently, CG pedagogy and research need to integrate experiential knowledge and theories from related fields. Types of CG constituting research and curricula building blocks in business schools and universities are proposed. The article has pragmatic implications for universities and ?gate-keeping' professions, which need to re-evaluate approaches to qualifications offered and CG efficacy in practice.
